Compare the terms in front of you

Use the same four areas to compare direct employment, B2B contracting, and an employer-of-record arrangement. Mark topics you have considered and keep your own follow-up notes; this worksheet does not score the options.

Ask the employer, client, or EOR provider for the written terms. For any point that needs local interpretation, ask a qualified adviser.

Direct employment

You would be employed directly by the organization hiring for the role.

Parties and written terms

Which legal entity would employ you, in which country would the agreement apply, and who would supervise your work?

Pay, benefits, and administration

What pay, currency, schedule, and benefits are written down? Who administers payroll and answers questions about deductions?

Permitted work locations

Which countries or locations are allowed, and do travel or a change of location need written approval?

Leave, expenses, and ending terms

How are leave and expenses handled? What do the written terms say about notice, renewal, and ending the relationship?

B2B contracting

You or your business would provide services under a client agreement.

Parties and written terms

Which client entity signs the services agreement, which country and written terms apply, and who can change the scope?

Pay, benefits, and administration

What rate, currency, invoice format, and payment schedule apply? Who handles invoicing, and which benefits or expenses are included?

Permitted work locations

Which locations and time zones are permitted? Are client-site days, travel, or approval for location changes expected?

Leave, expenses, and ending terms

What does the agreement say about time off, reimbursable expenses, renewal, notice, and ending the assignment?

Employer of record (EOR)

An EOR provider and the organization directing the work may have separate roles.

Parties and written terms

Which entity is named as employer, which organization directs the assignment, and which country and written terms apply?

Pay, benefits, and administration

Which pay and benefits are in the offer? Who runs payroll, handles deductions, and answers questions about expenses?

Permitted work locations

Where can the provider employ you for this assignment, and how are travel or changes to your work location approved?

Leave, expenses, and ending terms

Which party handles leave and expenses? What do the terms say about renewal, notice, and ending the assignment or employment?
